Founding Member Program Addendum

This Founding Member Program Addendum (this “Addendum”) supplements and is incorporated into the TwoDwell, PBC (“TwoDwell,” “we,” “us,” or “our”) Terms of Service (the “Terms”) and Privacy Policy. Capitalized terms not defined in this Addendum have the meanings assigned to them in the Terms. In the event of any conflict between this Addendum and the Terms during the Founding Member Period, this Addendum controls.
The following definitions apply to this Addendum:
- “Enrollment Date” means the date on which a Founding Member first accesses the Services under this Addendum.
- “Founding Member” means a user who enrolls in the TwoDwell Founding Member Program and accepts this Addendum.
- “Founding Member Period” means the six (6) month period beginning on the Founding Member’s Enrollment Date and ending on the date that is six (6) months thereafter, unless terminated earlier in accordance with Section 4 of this Addendum.
- “Feedback” means any feedback, bug reports, feature suggestions, ideas, or other input the Founding Member provides to TwoDwell during the Founding Member Period.
1. Founding Member Access and Platform Status
1.1 No-Charge Access. During the Founding Member Period, the Founding Member may access and use the Services at no charge, subject to the terms of this Addendum and the Terms.
1.2 Feature Modifications. TwoDwell may modify, limit, or expand the features available during the Founding Member Period at its sole discretion and without prior notice.
1.3 Active Development. The Services are in active development. Features may be added, changed, or removed at any time. The Founding Member acknowledges that the platform may contain bugs, incomplete features, or user experience issues that do not reflect the final product.
1.4 Output Disclaimer. Outputs generated through the Services during the Founding Member Period (including ADU Ready Reports and responses from Lottie, TwoDwell’s AI assistant) may be less reliable than production-level outputs and are provided on an “as is” basis without warranties of any kind.
1.5 No Service Guarantees. TwoDwell does not guarantee any specific level of uptime, response time, or support during the Founding Member Period.
2. Transition to Paid Subscription
2.1 Automatic Conversion. Upon expiration of the Founding Member Period, your account will automatically convert to a paid monthly subscription at the then-current rate (currently $99 per month), unless you cancel before the Founding Member Period ends.
2.2 Transition Reminder. TwoDwell will send you a reminder by email no fewer than three (3) days and no more than twenty-one (21) days before the end of your Founding Member Period. The reminder will state: (a) the date your free period ends, (b) the subscription price that will apply, and (c) how to cancel.
2.3 Affirmative Consent Required. Before the first charge is processed, TwoDwell will obtain your separate affirmative consent to the automatic renewal terms, consistent with Section 4 of the Terms and the California Automatic Renewal Law (Bus. & Prof. Code sections 17600 through 17606).
2.4 Failure to Consent or Cancel. If you do not cancel and do not provide affirmative consent to the paid subscription, TwoDwell will not process any charges and your access to the Services will end at the conclusion of the Founding Member Period.
2.5 Cancellation. You may cancel at any time during the Founding Member Period using the cancellation mechanism described in Section 4 of the Terms to avoid being charged.
3. Feedback, Confidentiality, and Limitation of Liability
3.1 Feedback. Any feedback, bug reports, feature suggestions, ideas, or other input you provide during the Founding Member Period (“Feedback”) becomes TwoDwell’s property. TwoDwell may use, modify, and incorporate Feedback without restriction, attribution, or compensation to you.
3.2 Confidentiality. During the Founding Member Period, you agree not to publicly disclose, share, or distribute screenshots, performance data, non-public feature details, or other proprietary information about the Services without TwoDwell’s prior written consent. This restriction does not prevent you from: (a) discussing your general experience with the platform; (b) sharing information TwoDwell has made publicly available; or (c) making disclosures required by law.
3.3 Limitation of Liability. During the Founding Member Period, TwoDwell’s total aggregate liability arising out of or relating to the Services is limited to one hundred dollars ($100). This cap reflects that no fees are paid during the Founding Member Period and applies in addition to, not in replacement of, the limitations in Section 11 of the Terms, which apply in full upon conversion to a paid subscription.
4. Termination of Founding Member Status
4.1 Cancellation by Founding Member. You may cancel your participation in the Founding Member Program at any time by following the cancellation process described in Section 4 of the Terms.
4.2 Termination by TwoDwell. TwoDwell may terminate your participation in the Founding Member Program at any time, with or without cause, upon written notice to you. Email to the address associated with your account constitutes sufficient written notice for purposes of this Section 4.2.
4.3 Effect of Termination or Expiration. Upon termination or expiration of your Founding Member Period, this Addendum expires automatically with respect to you. Any continued use of the Services after the Founding Member Period is governed solely by the Terms and Privacy Policy as then in effect, including all applicable subscription fees and billing terms.
5. General Provisions and Acceptance
5.1 Continuing Effect of Terms. All provisions of the Terms not expressly modified by this Addendum remain in full force and effect during the Founding Member Period.
5.2 Entire Agreement. This Addendum constitutes the complete agreement between TwoDwell and the Founding Member regarding the Founding Member Program and supersedes any prior oral or written communications on the subject.
5.3 Governing Law and Venue. This Addendum is governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising under this Addendum shall be brought exclusively in the state or federal courts located in San Diego County, California.
